Non-Disclosure Agreement

At Baumsoft, we are committed to protecting the confidential information you share with us during the quotation, evaluation, and development process. This agreement applies from the moment you provide any data through our forms or communication channels.

1. Definition of Confidential Information

Confidential information includes any information provided by the client, whether oral, written, graphic, electronic, or in any other format. This includes, but is not limited to: business ideas, technical specifications, designs, mockups, wireframes, databases, source code, financial information, business strategies, client lists, and any other data related to the project.

2. Scope of Agreement

This agreement applies to all employees, contractors, and representatives of Baumsoft SAS who have access to the client's confidential information. The confidentiality obligation extends during and after the business relationship between the parties.

3. Baumsoft's Obligations

Baumsoft commits to: (a) use confidential information solely for the purposes of project evaluation, quotation, and execution; (b) not disclose information to third parties without the client's prior written consent; (c) implement reasonable security measures to protect information against unauthorized access; (d) limit access to information only to personnel who need it to fulfill the contracted service.

4. Exceptions

The confidentiality obligation does not apply when the information: (a) is in the public domain at the time of disclosure; (b) becomes public information without fault of Baumsoft; (c) was previously known by Baumsoft through legitimate means; (d) is required by court order or competent authority, in which case Baumsoft will immediately notify the client.

5. Duration

This non-disclosure agreement remains in effect throughout the business relationship and for an additional period of three (3) years from the termination of service or last contact between the parties.

6. Intellectual Property

All confidential information provided by the client remains the exclusive property of the client. Baumsoft does not acquire any intellectual property rights over shared information. Project deliverables become the client's property once agreed payment is completed.

7. Breach

In case of breach of this agreement by Baumsoft, the client shall have the right to demand immediate cessation of unauthorized disclosure and compensation for damages caused, in accordance with applicable legislation.

8. Governing Law

This agreement is governed by the laws of the Republic of Colombia. Any dispute shall be resolved before the competent courts of the city of Bogota, Colombia.
